Solon Eiendom ASA: Disclosure or shareholding and notification of trade by a party closely associated to a primary insider
Chairman of Solon Eiendom ASA’s (“Solon or the “Company”) board of directors, Simen Thorsen has on 1 July 2021 sold 1,362,057 shares in Solon at a price of NOK 40 per share through Hortulan AS (“Hortulan”), a company indirectly owned by Mr. Thorsen. Following the transaction, Hortulan holds 12,814,701 shares as well as forward contracts with exposure towards 2,000,000 shares in Solon, i.e. a total exposure of 14,814,701 shares. The total exposure corresponds to 19.98% of the outstanding shares and voting rights registered in the Company per 30 June 2021, out of which 17.28% are held as shares and 2.70% are forward contracts. With reference to Solon’s stock exchange announcement on 17 June 2021, the Company will issue 7,416,230 new shares to Samhällsbygnadsbolaget i Norden AB (“SBB”) in relation with the closing of Solon’s acquisition of two properties in Kristiansand from SBB. Following the registration of the new shares, Hortulan’s total exposure will correspond to 18.16% of the outstanding shares and voting rights in the Company, out of which 15.71% are held as shares and 2.45% are held as forward contracts.
